1. Introduction and Acceptance
These Terms and Conditions ("Terms") govern all services provided by The Trust Agency, operated by Global Commerce Media GmbH ("The Trust Agency," "we," "us," or "our"), including but not limited to link building, PR and advertorial placements, product reviews, and user-generated content services.
By using our services, requesting our portfolio, or placing an order, you ("Client," "you," or "your") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our services.
We reserve the right to modify these Terms at any time. Changes will be communicated to active clients and posted on our website. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
2. Services Offered
2.1 Link Building Services
Our link building services involve the placement of editorial articles containing backlinks to your website on third-party publisher websites. Standard link building placements include:
- One (1) DoFollow backlink per article
- Publication on an active section of the website (not in separate SEO subfolders)
- No advertising label on the article
- Article remains online for a minimum of twelve (12) months
- Professional copywriting services up to 500 words (included)
If a publisher deviates from these standards, such deviations will be indicated in the "Specifics" column of our portfolio or communicated during the booking process prior to implementation.
2.2 PR and Advertorial Services
Advertorials are promotional articles with a clear marketing focus, presented in an editorial style. Due to legal requirements, advertorial content must be clearly marked as advertising using terms such as "Advertisement," "Sponsored," or "Promotion." Advertorial placements typically include NoFollow links and may focus on a central keyword that is only assigned once per publisher.
For certain publishers, editorial creation must be handled directly by the publisher, and external content delivery is not possible. Such requirements will be communicated transparently in advance.
2.3 Product Review Services
Product review services require that the publisher or editorial team has the opportunity to test your product or service. This typically requires providing a sample or test access at the Client's expense. Reviews are created editorially and independently by the publisher. The Trust Agency facilitates the connection but does not control the editorial outcome or opinions expressed.
2.4 User-Generated Content (UGC) Services
UGC services involve the creation of authentic content by experienced creators, including videos and social media posts featuring your brand, products, or services. Usage rights and licensing terms for UGC will be specified in individual project agreements.
3. Portfolio and Quality Standards
3.1 Publisher Portfolio
Our portfolio includes over 100,000 publisher websites across various industries and niches. Most publishers in our portfolio meet minimum quality thresholds of Domain Rating (DR) 15 or higher and a minimum of 100 monthly organic visitors as measured by Ahrefs at the time of inclusion.
3.2 Tier Classification System
Publishers are classified into tiers based on Domain Rating and traffic metrics:
- Tier 0: Websites with DR below 20 and fewer than 500 monthly visitors (not listed)
- Tier 1: Basic, budget-friendly sites for initial link building
- Tier 2: Cost-effective sites with solid DR and basic traffic
- Tier 3: High-quality sites with strong DR and good visitor numbers
- Tier 4: Very high-quality sites with excellent DR and/or strong traffic
- Tier 5: Premium sites with top performance
3.3 Metrics Disclaimer
Publisher metrics (Domain Rating, traffic, etc.) are recorded at the time the site is added to our portfolio and updated when new data is reported by the publisher. Due to the size of our portfolio, continuous manual updates of all metrics are not feasible. Metrics serve as reference points and reflect the status at the time of inclusion or last update. We do not accept liability for fluctuations in third-party metrics after the time of booking.
4. Ordering and Booking Process
4.1 Portfolio Access and Selection
Upon onboarding, Clients receive access to our publisher portfolio. Clients may browse available publishers and select placements that align with their strategy and budget. Selection of a publisher constitutes a booking request, subject to confirmation.
4.2 Pre-Booking Confirmation
Before any implementation, we reconfirm each booking with the publisher to ensure the article can be published as agreed. Final price, availability, and any applicable terms are verified and communicated to the Client before commitment. Bookings are only considered confirmed after this verification process is complete and accepted by the Client.
4.3 Price and Availability Changes
We aim to keep our portfolio as current as possible. However, prices and availability are subject to change without notice. Any price or availability changes will be confirmed during the pre-booking confirmation process. The Trust Agency is not liable for changes between the time of portfolio viewing and booking confirmation.
5. Content Requirements
5.1 Content Provision
Articles may be provided by the Client or written by our editorial team. For editorial services up to 500 words, copywriting is included at no additional charge. For longer texts, a surcharge applies and will be communicated in advance.
5.2 Content Guidelines
Link building articles should be informative and offer genuine value to readers. Promotional language should be avoided, as it may result in a mandatory advertising label from the publisher. If products, brands, or services are prominently featured in content, publishers are legally obligated to label the content as advertising, which may affect link attributes and placement terms.
5.3 Sensitive Topics
Some publishers accept content on sensitive topics including gambling, cryptocurrencies, CBD, and adult content. Availability and conditions for sensitive topic placements are indicated in our portfolio. Additional restrictions or requirements will be communicated during the booking process. The Trust Agency reserves the right to decline content that violates applicable laws or publisher guidelines.
5.4 Client Responsibility
The Client warrants that all content provided does not infringe on any third-party intellectual property rights, does not contain false or misleading information, and complies with all applicable laws and regulations. The Client indemnifies The Trust Agency against any claims arising from Client-provided content.
6. Publication Guarantee
6.1 Minimum Publication Period
We guarantee a minimum publication period of twelve (12) months for each article placed through our services. This guarantee begins from the date of initial publication.
6.2 Extended Publication
While many publishers keep articles online indefinitely, the actual duration of publication after twelve months is entirely at the discretion of the respective publisher. We cannot assume liability for visibility or availability beyond the guaranteed twelve-month period.
6.3 Replacement Policy
If a placement is removed by the publisher within the twelve-month guarantee period through no fault of the Client, The Trust Agency will, at its discretion, either provide a replacement placement of comparable value or issue a refund for the affected placement. This remedy constitutes the Client's sole and exclusive remedy for early removal of content.
7. Pricing and Payment
7.1 Currency and Taxes
All prices are quoted in Euro (EUR), net of taxes. Applicable value-added tax (VAT) will be added where required by law based on the Client's location and tax status.
7.2 Invoicing
Invoices are typically issued at the end of the month or at the beginning of the following month for all articles booked in the previous month. Custom invoicing arrangements may be agreed upon in writing.
7.3 Payment Terms
Unless otherwise agreed in writing, the invoice amount is payable within fifteen (15) days of the invoice date. Late payments may be subject to interest charges and suspension of services.
7.4 Refunds
Refunds are only issued in accordance with the Replacement Policy outlined in Section 6.3 or where The Trust Agency is unable to fulfill a confirmed booking. No refunds will be issued for placements that remain live and were delivered as specified.
8. Limitation of Liability
8.1 Third-Party Publishers
The Trust Agency acts as an intermediary between Clients and third-party publishers. While we vet publishers and maintain quality standards, we do not own or control publisher websites. We are not liable for actions taken by publishers, including but not limited to content modifications, site redesigns, domain changes, or business closures that may affect placements after delivery.
8.2 SEO Results
The Trust Agency does not guarantee specific SEO outcomes, search engine rankings, traffic increases, or business results from link placements. Search engine algorithms are outside our control, and results vary based on numerous factors including competitive landscape, website quality, and ongoing SEO efforts.
8.3 Maximum Liability
To the maximum extent permitted by law, The Trust Agency's total liability for any claims arising from or related to our services shall not exceed the amount paid by the Client for the specific service giving rise to the claim. In no event shall The Trust Agency be liable for indirect, incidental, special, consequential, or punitive damages.
9. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary information shared during the course of the business relationship. This includes, but is not limited to, portfolio pricing, publisher relationships, client lists, and business strategies. Confidentiality obligations survive termination of the business relationship.
10. White-Label and Agency Partnerships
The Trust Agency offers white-label services for marketing agencies and resellers. Agency partners may resell our services to their clients under their own brand. Agency partners are responsible for their end-client relationships and agree to these Terms on behalf of their clients. Special partnership terms may be established through separate written agreements.
11. Termination
11.1 Termination by Client
Clients may discontinue use of our services at any time. Termination does not affect obligations for services already ordered or delivered. Outstanding invoices remain due and payable.
11.2 Termination by The Trust Agency
The Trust Agency reserves the right to terminate services to any Client for breach of these Terms, non-payment, fraudulent activity, or content that violates applicable laws or our policies. In case of termination for cause, no refunds will be issued for services already rendered.
12. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Augsburg, Germany.
13. Miscellaneous Provisions
13.1 Entire Agreement
These Terms, together with any individual project agreements, constitute the entire agreement between the parties and supersede all prior agreements, representations, and understandings.
13.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Waiver
Failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
13.4 Assignment
The Client may not assign or transfer any rights or obligations under these Terms without prior written consent from The Trust Agency. The Trust Agency may assign its rights and obligations to any successor or affiliate.
